Once we have produced and agreed a short-list of relevant targets with our client we initiate contact and a confidential dialogue with them. We prepare a valuation of the target objectively and professionally, taking into account the financial and commercial benefits to be gained and recommend the most suitable structure and funding for the transaction. Together with the client we then endeavour to negotiate the most advantageous possible purchase price and if agreed with the target, obtain a period of exclusivity within which to confirm our valuation and understanding of the target. We will subsequently, proactively project manage the transaction to legal completion and as appropriate liaise with our client’s other professional advisers.
Management buy-outs (MBOs) and buy-ins (MBIs) present an elevated level of complexity and are both time-consuming and potentially risky for management teams. We mitigate these factors by ensuring management are introduced to the most suitable financial sponsors and assist in the negotiation of the most advantageous equity deal for the management team. Where the sale of the entire company is not appropriate or relevant shareholders may wish to release some liquidity from the capital value they have created in the company they own.
